Terms and Conditions – Tramaxis / IQQTrading

1. Introduction and Scope

These Terms and Conditions (“Terms”) govern the use of all services, products, platforms and digital goods provided under the names Tramaxis and/or IQQTrading (jointly referred to as “Tramaxis”, “we”, “our”, or “us”). Tramaxis and IQQTrading operate internationally and provide services to clients worldwide. Unless expressly stated otherwise, any reference to Tramaxis in these Terms also includes IQQTrading and any related website, brand, product page, checkout page, invoice, or service operated under either name. These Terms apply to all offerings, including but not limited to:

  • PAMM Backoffice – a cloud-hosted SaaS platform for professional money managers and brokers, accessible at pamm.tramaxis.com.
  • TeleSaaS – a white-label Telegram signal platform, available as a source code purchase or as a hosted SaaS rental.
  • Copy Trading Services – automated copy trading facilitated through Trade-Copier infrastructure.
  • MetaTrader Signal Provider Platform – a professional MT4/MT5 signal distribution and provider management system.
  • Performance-fee-based models calculated and billed according to the High-Water-Mark (HWM) principle.
  • Fixed subscription plans and memberships.
  • Trading signals delivered through designated Telegram channels.
  • Digital tools, modules, Expert Advisors (EAs), and other trading-related software extensions.

By accessing, purchasing, subscribing to, or utilizing any Tramaxis or IQQTrading service, you fully and irrevocably agree to all provisions within these Terms. If you do not agree with these conditions, you must not use our services.

2. Definitions

  • “Client” or “You” – any individual, company or entity that accesses, purchases or uses any Tramaxis or IQQTrading service.
  • “Tramaxis”, “IQQTrading”, “we”, “our”, or “us” – the provider, brand name, website, or related service operator under which the respective product, platform, invoice, checkout, or trading-related service is offered.
  • “PAMM Backoffice” – the cloud-hosted SaaS platform for money managers and brokers at pamm.tramaxis.com, including all dashboards, APIs, settlement engines, and related functionality.
  • “TeleSaaS” – the Telegram signal platform product, whether purchased as source code or rented as a hosted service.
  • “Copy Trading” – the automated replication of trades from a master account to one or more follower accounts via Trade-Copier infrastructure.
  • “Signal Provider Platform” – the MetaTrader MT4/MT5 signal distribution and provider management system.
  • “Digital Product” – any software, source code, module, Expert Advisor, template, or digital tool delivered by Tramaxis.
  • “SaaS” – Software as a Service; cloud-hosted software accessed via subscription.
  • “Setup Fee” – a one-time, non-refundable fee charged at the beginning of a subscription or service activation.
  • “HWM” – High Water Mark, the highest net profit level previously achieved on a linked trading account.

3. Essential Risk Disclaimer

Trading Forex, Gold, indices, cryptocurrencies and Contracts for Difference (CFDs) involves a significant level of financial risk and may result in the partial or total loss of your invested capital. Leveraged products can result in rapid gains as well as rapid and substantial losses.

It is crucial that you only commit capital that you can afford to lose. We expressly state that:

  • No information, trading signal, digital tool, software, platform or analysis provided by Tramaxis constitutes financial advice, legal advice, tax advice, or an investment recommendation.
  • All statements regarding past performance offer absolutely no guarantee of future results or profitability.
  • Copy trading does not eliminate risk, and results may differ significantly between accounts due to broker conditions, execution speed, slippage, spreads, and other factors.
  • You are solely responsible for your trading decisions, account management, and all resulting financial consequences.
  • Tramaxis is not a regulated financial institution, investment advisor, broker, or fund manager.

4. Nature and Extent of Services

Tramaxis provides technology products and services for the trading industry. We expressly do not engage in the following activities:

  • The active management or custody of client funds.
  • The manual execution of trades on behalf of clients.
  • The provision of personalized investment advice or the recommendation of specific trading decisions.
  • The assurance or guarantee of profit, trade accuracy, or any specific performance outcome.
  • Acting as a broker, dealer, or financial intermediary.

All Tramaxis products are technology tools. The client is solely responsible for how they use these tools, the configuration of their accounts, and all trading or business decisions made using our platforms.

5. PAMM Backoffice – SaaS Platform

The PAMM Backoffice is a cloud-hosted Software-as-a-Service (SaaS) platform designed for professional money managers and brokers. The following terms apply specifically to this product:

5.1 Service Description

The PAMM Backoffice provides investor management, settlement calculation, MT4/MT5 integration, billing management, dashboards, REST API access, and related functionality as described on the product page. The platform is hosted and maintained by Tramaxis.

5.2 Subscription Plans and Pricing

The PAMM Backoffice is offered under tiered subscription plans (e.g., Starter, Standard, Pro) with monthly recurring fees and a one-time setup fee. Current pricing is published at pamm.tramaxis.com/pricing/. Tramaxis reserves the right to adjust pricing at any time. Price changes for existing subscriptions will take effect at the next billing cycle after notification.

5.3 Trial Access

Tramaxis may offer a free trial period. Trial accounts operate in read-only mode and are automatically deactivated after the trial period expires. No payment information is required for trial access. Trial access does not create any entitlement to continued service.

5.4 Account Activation and Billing

Paid accounts are activated automatically upon successful payment via Stripe Checkout. The setup fee is charged once at the time of initial subscription. Monthly fees are charged automatically on a recurring basis. Failed payments will result in immediate suspension of the account.

5.5 Plan Limits

Each subscription plan includes defined limits (e.g., maximum number of investors, maximum managed capital). Exceeding these limits may result in restricted functionality or require an upgrade to a higher plan. Tramaxis reserves the right to enforce plan limits at any time.

5.6 Data and Content

The client is solely responsible for all data entered into the PAMM Backoffice, including investor information, transaction data, and strategy configurations. Tramaxis does not verify, audit, or validate the accuracy of client-entered data. Upon account termination, Tramaxis may delete all associated data after a reasonable retention period.

5.7 API Usage

API access is provided via authenticated API keys. The client is responsible for the security of their API keys. Tramaxis reserves the right to impose rate limits and usage restrictions. Misuse of the API may result in immediate suspension.

6. TeleSaaS – Telegram Signal Platform

TeleSaaS is a white-label Telegram signal platform available in two models:

6.1 Source Code Purchase

When purchased as a source code package, the client receives a non-exclusive, non-transferable license to use, modify, and deploy the software on their own infrastructure. The purchase is a one-time transaction for a digital product. Upon delivery of the source code, the transaction is considered fully completed and fulfilled. No refund is available after delivery (see Section 12).

6.2 Hosted SaaS Rental

When rented as a hosted service, TeleSaaS operates under the same subscription and billing terms as described in Section 10. Tramaxis hosts and maintains the infrastructure. The client accesses the platform via their assigned instance.

6.3 Client Responsibility

Whether purchased or rented, the client is solely responsible for:

  • The configuration and operation of the platform.
  • Compliance with all applicable laws and regulations in their jurisdiction, including but not limited to financial regulations, data protection laws, and consumer protection requirements.
  • The content of signals distributed through the platform.
  • The management of their own subscribers, followers, and end users.
  • The setup and configuration of Telegram bots, Stripe accounts, and all third-party integrations.

7. Copy Trading Services

Tramaxis provides automated copy trading solutions through independent Trade-Copier infrastructure. The following applies:

  • Copy trading replicates trades from a master account to follower accounts. Results may vary between accounts due to broker conditions, execution speed, slippage, spreads, latency, and other factors beyond our control.
  • Tramaxis does not guarantee identical execution, fill prices, or performance between master and follower accounts.
  • Performance-fee Copy Trading accounts must not be used for manual trading, hedging, or discretionary interventions. Manual trades on such accounts are disregarded for fee calculation and may result in suspension or permanent removal from the service.
  • Only copied trades from the master account are used for fee calculation.

8. MetaTrader Signal Provider Platform

The MetaTrader Signal Provider Platform enables professional signal providers to distribute trading signals to followers via MT4/MT5 Expert Advisors. The following applies:

  • Signal providers are solely responsible for the quality, accuracy, and legality of their signals.
  • Tramaxis provides the technical infrastructure only and does not endorse, verify, or guarantee any signal provider’s performance.
  • Followers use signals at their own risk. Tramaxis is not liable for any trading losses resulting from following signals.
  • The platform includes EA authentication, risk management tools, and revenue generation features as described on the product page.

9. Performance Fee and High Water Mark Model

Under performance fee models, the following applies:

  • Fees are levied exclusively on the realised net profit on the linked trading account that exceeds the previously achieved High-Water-Mark (HWM).
  • Net profit means the result of copied master trades after all trading-related costs (including spreads, commissions, swaps, and other broker fees) have been deducted.
  • No performance fees are incurred during losing periods. If there is no net profit for a given period, no performance fee is charged.
  • The HWM value only increases when a new high watermark of profit is achieved. Losses do not reduce the HWM.
  • Customer deposits and withdrawals to the trading account do not affect the High-Water-Mark calculation.

Unless otherwise agreed in writing, performance fee invoices are issued after the weekly trading period has closed. The standard weekly period runs from Sunday 23:00 to Friday 23:00 CET/CEST. Payment is due within two (2) business days from the invoice date or within the payment deadline stated on the invoice. If payment is not received on time, Tramaxis may pause, restrict, or remove the trading connection until the outstanding amount has been settled.

10. Subscriptions, Billing and Recurring Payments

The following applies to all subscription-based services (PAMM Backoffice, TeleSaaS rental, Copy Trading subscriptions, signal access plans, and any other recurring service):

  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • Cancellation stops future billing but does not entitle the client to a refund of any previous payments, including partial periods.
  • Setup fees are one-time, non-refundable charges payable at the start of the subscription.
  • Access to services will be suspended immediately if a payment fails, is reversed, disputed, or the subscription otherwise expires.
  • Tramaxis reserves the right to change subscription prices. Existing subscribers will be notified of price changes before they take effect at the next billing cycle.

11. Payment Processing and Payment Authorization

Payments may be processed through Stripe, Wise, bank transfer, card payment, customer balance, virtual bank account details, or any other payment method stated on the invoice, checkout page, payment link, or agreed in writing. The available payment methods may depend on the client’s country, currency, account type, and the payment processor’s rules.

  • By making a purchase, paying an invoice, subscribing to a service, or activating any Tramaxis or IQQTrading service, you authorize the applicable charge for all agreed fees, including setup fees, activation fees, recurring subscription fees, performance fees, and any other charges associated with the selected service.
  • You acknowledge that you are the authorized holder or authorized user of the payment method used.
  • You accept responsibility for maintaining valid and up-to-date billing information and for paying all invoices within the stated payment deadline.
  • If Stripe is used, you acknowledge that Stripe manages the relevant payment data, card information, and billing security. Tramaxis does not store or have access to your full card details.
  • If Wise, bank transfer, customer balance, or virtual bank account details are used, payment is considered received only when the funds have arrived and have been clearly allocated to the correct invoice or client account.
  • If a payment link, checkout page, or invoice requires acceptance of these Terms, such acceptance is part of the contractual basis for the payment and the related service activation.
  • If Stripe is used, you also accept Stripe’s own Terms of Service and Privacy Policy as they apply to payment processing.

Tramaxis retains records of transactions, invoices, payment confirmations, checkout acceptances, service activations, client authorizations, and related communications. These records may serve as evidence of the client’s authorization and acceptance of charges.

12. No Right of Withdrawal – No Refund Policy

To the maximum extent permitted by applicable law, all payments made to Tramaxis or IQQTrading are final and non-refundable. This applies in particular to:

  • Monthly and recurring subscription fees (PAMM Backoffice, TeleSaaS rental, Copy Trading, signal access).
  • One-time setup fees.
  • Performance fees and High Water Mark fees.
  • Source code purchases (TeleSaaS and other digital products).
  • Digital modules, Expert Advisors, templates, and software extensions.
  • Any other fees or charges associated with Tramaxis services.

12.1 Waiver of Right of Withdrawal (Digital Content)

In accordance with EU Directive 2011/83/EU (Consumer Rights Directive), Article 16(m), and equivalent international consumer protection laws, you expressly acknowledge and agree that:

  • By purchasing or subscribing to any Tramaxis digital product or service, you consent to the immediate performance and delivery of the digital content or service.
  • You acknowledge that the right of withdrawal is lost once the digital content has been delivered or the service has begun, as the performance of the contract has commenced with your explicit prior consent.
  • For source code purchases: delivery is considered complete upon provision of the download link or access credentials. The digital product is fully delivered at that point.
  • For SaaS subscriptions: service delivery begins immediately upon successful payment and account activation.

12.2 Business-to-Business (B2B) Transactions

Many Tramaxis services are designed for professional and commercial use (money managers, brokers, signal providers, SaaS operators). Where the client is acting in a professional or commercial capacity, consumer withdrawal rights do not apply under EU and international law. By using Tramaxis services for professional or commercial purposes, you confirm that you are acting in a business capacity.

13. Chargebacks and Payment Disputes

Initiating an unjustified chargeback, payment dispute, or payment reversal through your bank, credit card company, or payment provider without first contacting Tramaxis constitutes a severe violation of these Terms and may result in:

  • The immediate and permanent suspension of all Tramaxis accounts and services associated with the client.
  • The permanent revocation of all access rights, licenses, API keys, and credentials.
  • The right of Tramaxis to pursue recovery of all disputed amounts plus any fees, costs, and damages incurred as a result of the chargeback, including but not limited to Stripe dispute fees, administrative costs, and legal fees.
  • The right of Tramaxis to take reasonable fraud-prevention, collection, and legal steps where permitted by applicable law.

If you believe a charge is incorrect, you must contact Tramaxis or IQQTrading directly at support@tramaxis.com or the support address shown on the applicable invoice or website before initiating any dispute with your payment provider. Tramaxis will review the matter and respond within a reasonable timeframe. Filing an unjustified chargeback without first contacting Tramaxis is considered a breach of contract.

Tramaxis maintains comprehensive records of all transactions, client authorizations, service activations, login activity, and usage data. This evidence will be submitted to Stripe and the relevant card network in the event of any dispute.

14. Technical Support and Documentation

Tramaxis provides comprehensive documentation for all products, including installation guides, API documentation, user manuals, and FAQ sections. The client acknowledges and agrees that:

  • Tramaxis is not obligated to provide individual technical support, onboarding, training, or consulting services beyond what is included in the purchased plan.
  • The client is responsible for reading and following the provided documentation.
  • Installation, configuration, and operation of purchased software (including TeleSaaS source code, Expert Advisors, and other digital products) is the sole responsibility of the client.
  • Tramaxis does not provide support for third-party services, including but not limited to: broker platforms, MetaTrader terminals, Telegram, Stripe account setup, server administration, domain configuration, or DNS management.
  • Support requests outside the scope of the purchased plan may be offered as a paid consulting service at Tramaxis’s discretion.

For SaaS products (PAMM Backoffice, TeleSaaS rental), the level of support included depends on the subscription plan (e.g., email support, priority support, dedicated support). The specific support scope is described on the respective product page.

15. Prohibited Use of Services

You agree not to use any Tramaxis service for the following purposes:

  • Sharing, reselling, sublicensing, or redistributing signals, source code, access credentials, API keys, or any other Tramaxis content to unauthorized third parties.
  • Attempting to bypass authentication systems, billing mechanisms, or access controls.
  • Granting unauthorized access to third parties.
  • Reverse engineering, decompiling, or attempting to extract the source code of any compiled software (Expert Advisors, modules, or other binaries) unless the source code was explicitly purchased.
  • Abusing, overloading, or disrupting the technical infrastructure, APIs, or servers.
  • Using the services to manipulate or distort performance fee calculations (e.g., by systematically hedging or offsetting copied trades).
  • Using the services for any illegal activity, including money laundering, fraud, or market manipulation.
  • Misrepresenting your identity, business capacity, or authorization to use the payment method.

16. Privacy and Data Handling

We process personal data solely to deliver the services purchased and to fulfill our contractual obligations. This includes:

  • Managing subscriptions, invoices, and payments via Stripe, Wise, bank transfer, card payment, customer balance, or another agreed payment method.
  • Account creation and authentication for SaaS platforms.
  • Technically linking trading accounts for copy trading purposes.
  • Providing customer support and communication.
  • Fraud prevention, security, and abuse detection.
  • Maintaining audit logs and transaction records as required for billing and dispute resolution.

Details on how we handle your information can be found in our Privacy Policy. Your data will not be sold or disclosed to third parties unless strictly necessary for the delivery of the service by our trusted payment and service processors, or as required by law.

17. Availability, Maintenance and Third-Party Dependencies

We strive to ensure continuous availability of all services. However, uninterrupted access cannot be guaranteed. The client acknowledges that Tramaxis services depend on third-party platforms and infrastructure, including but not limited to:

  • Telegram (for signal delivery and bot functionality).
  • MetaTrader 4 and MetaTrader 5 (for trading execution and EA operation).
  • Stripe (for payment processing).
  • Broker servers and trading platforms (for trade execution).
  • Cloud hosting providers (for server infrastructure).
  • DNS providers, CDNs, and other internet infrastructure.

Tramaxis is not responsible for outages, delays, errors, or service interruptions caused by any third-party platform or infrastructure. Scheduled maintenance may lead to short-term interruptions. Tramaxis will make reasonable efforts to minimize downtime but provides no uptime guarantee or Service Level Agreement (SLA) unless explicitly stated in a separate agreement.

18. Limitation of Liability

To the maximum extent permitted by applicable law, you expressly acknowledge and agree that Tramaxis, its owners, employees, contractors, and affiliates cannot be held liable for:

  • Any trading losses, reduction of invested capital, or financial damages of any kind.
  • Lost profit, missed trading opportunities, or unrealized gains.
  • Technical faults, bugs, errors, or malfunctions in any software, platform, or service.
  • Execution delays, slippage, requotes, or discrepancies caused by brokers, trading platforms, or network conditions.
  • Data loss, corruption, or unauthorized access resulting from factors beyond our reasonable control.
  • Actions, omissions, or failures of third-party services (Telegram, MetaTrader, Stripe, brokers, hosting providers).
  • Incorrect configuration, misuse, or improper operation of any Tramaxis product by the client.
  • Any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action.

In no event shall Tramaxis’s total aggregate liability exceed the amount paid by the client to Tramaxis in the three (3) months immediately preceding the event giving rise to the claim.

19. Indemnification

You agree to indemnify, defend, and hold harmless Tramaxis, its owners, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of any Tramaxis service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any claim by a third party arising from your use of Tramaxis products (including claims from your own clients, investors, or subscribers).
  • Any chargeback, payment dispute, or fraudulent transaction initiated by you or on your behalf.

20. Intellectual Property and Licensing

All Tramaxis products, including but not limited to software, source code, documentation, designs, logos, trademarks, and content, are the intellectual property of Tramaxis and are protected by applicable copyright and intellectual property laws.

  • SaaS Products (PAMM Backoffice, TeleSaaS rental): The client receives a non-exclusive, non-transferable, revocable right to use the platform for the duration of the active subscription. No ownership or intellectual property rights are transferred.
  • Source Code Purchases (TeleSaaS source code): The client receives a non-exclusive, non-transferable license to use, modify, and deploy the purchased source code for their own business operations. Resale, redistribution, or sublicensing of the source code is strictly prohibited unless explicitly authorized in writing by Tramaxis.
  • Expert Advisors and Compiled Software: The client receives a non-exclusive, non-transferable license to use the compiled software. Decompilation, reverse engineering, or redistribution is prohibited.

21. “Lifetime” Access (If Purchased)

  • This access is non-refundable and cannot be transferred to third parties.
  • It can be immediately terminated in the event of a violation of these Terms.
  • It is only valid for as long as the Tramaxis service exists and is actively operated in its current or a comparable form.
  • “Lifetime” refers to the lifetime of the product or service, not the lifetime of the purchaser.

22. Account Suspension and Termination

Tramaxis reserves the right to suspend or terminate any account, subscription, or access at any time, with or without notice, for any of the following reasons:

  • Violation of any provision of these Terms.
  • Non-payment, failed payment, or chargeback.
  • Suspected fraud, abuse, or unauthorized use.
  • Request by law enforcement or regulatory authorities.
  • Any conduct that Tramaxis, in its sole discretion, considers harmful to the service, other users, or Tramaxis’s reputation.

Upon termination, all rights and licenses granted to the client are immediately revoked. No refund will be issued for any remaining subscription period.

23. Modifications to the Terms

We reserve the right to update, modify, or supplement these Terms and Conditions at any time. Changes will be published on this page with an updated effective date. The continued use of any Tramaxis service after the publication of changes constitutes full and binding acceptance of the modified Terms.

24. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

25. Governing Law and Dispute Resolution

Unless mandatory law provides otherwise, these Terms shall be governed by the laws of Germany, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to the competent courts at the provider’s place of business, to the extent legally permissible.

The contract language is English unless another language version is expressly agreed. If a translated version is provided, the English version shall prevail in case of conflict, to the extent legally permissible.

26. Final Acceptance and Responsibility

By using any Tramaxis or IQQTrading service, you confirm that you have fully read, understood, and accepted these Terms. You assume full and sole responsibility for:

  • All trading decisions made by you and all resulting financial consequences.
  • The management of your risk and capital.
  • The proper configuration and operation of all purchased or subscribed products.
  • Compliance with all applicable laws and regulations in your jurisdiction.
  • The accuracy and legality of all data, content, and signals you distribute through Tramaxis platforms.

27. Gold Fixed Trading / Broker-Connected Copy Trading Addendum

This section applies to any Gold Fixed Trading, broker-connected fixed-lot setup, copy trading connection, signal-following arrangement, or similar trading-related service offered under Tramaxis or IQQTrading, unless a separate written agreement states otherwise.

27.1 Technical Connection Only

The service is intended as a technical trading connection, signal-following, or copy-trading infrastructure. Tramaxis and IQQTrading do not hold client funds, do not process client deposits or withdrawals from broker accounts, and do not act as the client’s broker, bank, custodian, investment advisor, or fund manager.

Depending on the technical setup, the client may be required to provide MT4/MT5 trading credentials, API credentials, or other trade-execution access required to connect the trading account. Such access is used solely for the technical purpose of placing, copying, modifying, or closing trades according to the agreed setup. A trading password or trade-execution access does not provide withdrawal rights. Withdrawals remain controlled by the client and the client’s broker according to the broker’s own rules.

27.2 Client Review Before Activation

Before activation, the client may be asked to provide relevant information, including but not limited to country of residence or business location, broker name, MT4/MT5 platform, account type, account currency, account size, leverage, margin conditions, server details, desired risk level, and preferred payment method. Tramaxis may refuse activation if the account size, broker conditions, payment method, jurisdiction, risk profile, or technical setup is not suitable.

27.3 Fixed Lot and Account Size

Any fixed-lot setting must be reviewed individually. A lot size shown in historical examples, marketing material, performance tables, or educational content must not be understood as a recommendation for every client account. Smaller accounts may require substantially lower lot sizes or may be unsuitable for the service. The client remains solely responsible for accepting the chosen risk level and for ensuring that the account is sufficiently funded for the selected setup.

27.4 Own Broker or Suggested Broker

Clients may use their own broker if the broker, account type, server, leverage, execution conditions, and technical setup are suitable. Tramaxis or IQQTrading may also suggest a broker or partner broker where technically appropriate. If a client chooses a suggested or partner broker, Tramaxis or IQQTrading may receive affiliate, introducing broker, rebate, or similar compensation from that broker. Clients are not required to use a suggested broker unless a specific service requires a technically compatible broker setup.

27.5 Setup Fees, Performance Fees and Individual Offers

Setup fees, activation fees, performance fee percentages, payment methods, and any possible launch offer or credit arrangement are agreed individually after review of the client’s account size, broker conditions, country, risk profile, and technical requirements. Unless expressly agreed in writing, no public example, historical result, or marketing statement creates a fixed price, fixed fee, guaranteed acceptance, or guaranteed account setup.

A setup or activation fee compensates for account review, technical connection, configuration, communication, and onboarding work. Once technical review, setup, activation, or access delivery has begun, setup and activation fees are non-refundable to the maximum extent permitted by applicable law, unless otherwise agreed in writing.

27.6 Weekly Performance Fee Calculation

Unless otherwise agreed in writing, the standard performance week runs from Sunday 23:00 to Friday 23:00 CET/CEST. Performance fees are calculated only on realised net profit from closed copied or linked trades, after broker-related trading costs such as commissions, swaps, spreads, and other broker fees where applicable. Open trades, deposits, withdrawals, manual client trades, hedging activity, or discretionary client interventions are not included in the performance fee calculation unless expressly agreed in writing.

Performance fees are normally calculated according to the High-Water-Mark principle. If there is no realised net profit above the applicable High-Water-Mark for a billing period, no performance fee is due for that period.

27.7 Invoicing, Payment Deadline and Non-Payment

Performance fee statements or invoices are normally issued after the weekly trading period has closed. Payment is due within two (2) business days from the invoice date or within the deadline stated on the invoice. Accepted payment methods may include Wise, bank transfer, Stripe payment link, card payment, customer balance, virtual bank account details, or another method stated on the invoice.

If a performance fee, setup fee, activation fee, subscription fee, or other due amount is not paid on time, Tramaxis may pause, restrict, disable, or remove the trading connection and may refuse further service until the outstanding amount has been fully settled.

27.8 No Profit Guarantee and Client Responsibility

Historical performance, examples based on fixed-lot calculations, back-calculated performance, screenshots, charts, or previous live results do not guarantee future profits. Trading Gold, Forex, indices, cryptocurrencies, and CFDs involves substantial risk and may result in partial or total loss of capital. The client remains fully responsible for the broker account, the deposited capital, the accepted risk level, taxes, regulatory obligations, and all consequences of trading activity.

27.9 Broker Setup Plan – RoboForex

The Broker Setup Plan – RoboForex is a separate broker-connected setup model and does not replace the weekly performance-fee models, fixed subscription plans, or other offers described elsewhere in these Terms. Unless expressly stated otherwise for another plan, all weekly billing terms remain in full force for the weekly models.

This plan is available only for eligible RoboForex Pro or RoboForex ECN accounts. Cent accounts, demo accounts, unsupported account types, or accounts not connected with the required affiliate code are not accepted for this plan. The client must open or connect the RoboForex account using affiliate code AJLR, unless Tramaxis or IQQTrading expressly agrees otherwise in writing.

The Broker Setup Plan requires a minimum trading account size of approximately €5,000 or the equivalent in another accepted account currency. Tramaxis or IQQTrading may refuse activation, pause setup, or reject an account if the account size, broker conditions, account type, leverage, margin conditions, jurisdiction, selected risk profile, payment setup, or technical configuration is not suitable.

The plan includes a one-time setup fee of €299. This setup fee compensates account review, technical connection, configuration, onboarding, communication, and activation work. The setup fee is non-refundable once review, setup, activation, access delivery, or onboarding has begun, to the maximum extent permitted by applicable law.

After activation, a 25% monthly performance fee applies to realised net profit from closed connected-system trades, calculated according to the High-Water-Mark principle. Performance fees under this Broker Setup Plan are calculated monthly unless otherwise agreed in writing. If there is no realised net profit above the applicable High-Water-Mark for the monthly billing period, no performance fee is due for that monthly period.

Manual trades are not allowed on the connected account under this Broker Setup Plan, because manual trading, hedging activity, discretionary client interventions, or other non-connected-system trades can affect or distort the monthly performance calculation. If manual trades or other non-connected-system trades are opened on the connected account, Tramaxis or IQQTrading may pause, restrict, disconnect, or permanently remove the account from the Broker Setup Plan. Such removal does not create any refund entitlement for setup fees, previous performance fees, or other already delivered services.

For monthly performance-fee billing, the client authorizes Tramaxis or IQQTrading to charge the saved payment method for calculated monthly performance fees, unpaid invoices, failed-payment retries, or other agreed charges related to this Broker Setup Plan. By completing Stripe checkout, accepting these Terms, and saving payment information for future billing, the client agrees that future monthly performance-fee charges may be processed using the saved payment method according to the monthly performance statement and the High-Water-Mark model.

The client must use the same email address used for the Stripe payment when contacting Tramaxis or IQQTrading about activation, onboarding, billing, account connection, or support for this plan, unless another identification method is expressly accepted in writing. The RoboForex account number or login provided during checkout or onboarding is used for internal assignment and account identification.

Client funds remain at all times in the client’s own RoboForex broker account. Tramaxis and IQQTrading do not have withdrawal access, deposit access, payment-method access, broker client-area access, email access, wallet access, or custody of client funds. Any trading password, API access, platform connection, or trade-execution access is used only for the technical connection and order execution required for the agreed setup.
